TERMS & CONDITIONS FOR HIRE, INSTALLATION & SERVICES
These Terms & Conditions apply to all hire, installation, and services provided by Project Audio Ltd. Last revised September 2025. At Project Audio Ltd, we take pride in delivering exceptional sound, service, and professionalism. These Terms & Conditions keep everything clear and fair - outlining responsibilities, expectations, and protections for both parties.
IN ESSENCE: All hired equipment remains the property of Project Audio Ltd.
You are responsible for its safety, security, and insurance from delivery until collection. If equipment is damaged, lost, or stolen during hire, you (or your insurer) will cover repair or replacement costs.
If a unit fails during a show, we’ll do everything possible to keep the show running - but our liability is limited to the hire or service fee for the affected item. You are responsible for damage or loss caused by guests, artists, contractors, venue power faults, weather, or other external factors.
Deposits become non-refundable within 14 days of the event; later cancellations may incur charges. Project Audio Ltd holds £10 million Public Liability Insurance and always operates safely and discreetly. We will always act fairly and work with you to resolve any issues - these Terms simply make everyone’s obligations clear

means any person, firm or company hiring or purchasing equipment or engaging the Company’s services.
means all items supplied on hire or sold by the Company, including accessories, cables and packaging.
means all work undertaken by the Company including hire, installation, engineering, consultancy and technical support.
means the time from delivery or collection until the equipment is returned to or collected by, the Company.
means the agreement between the Company and the Client for supply of Equipment or Services, incorporating these Terms.

These Terms apply to all Equipment and Services supplied by the Company and override any terms proposed by the Client.
Any variation must be agreed in writing by a Director of the Company.
Acceptance of a quotation, purchase order, email confirmation or verbal instruction constitutes acceptance of these Terms.
All Contracts are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.

Quotations are valid for 30 days unless otherwise stated.
Orders become binding when accepted by the Company in writing, by email or upon commencement of Services.
The Company may substitute Equipment with equivalent or superior models where necessary.

All Equipment remains the property of Project Audio Ltd.
The Client shall not sell, pledge, sub-hire or otherwise part with possession or control of the Equipment.
Risk passes to the Client on delivery or collection. The Client is responsible for safe-keeping, correct use, and insurance for full replacement value during the Hire Period.
The Client is responsible for any loss, theft, damage, or destruction of Equipment, however caused, including by guests, artists, venue staff, contractors, environmental conditions or power irregularities.
Equipment damaged or lost shall be charged at full repair or replacement cost.
Equipment must be returned in the condition supplied; cleaning, repair, or missing-item charges may apply.
Late return incurs daily hire charges until received.
For dry hire, the Client accepts full responsibility for operation, safety and correct connection of Equipment.
For wet hire, the Company’s personnel will operate and manage the system during show hours; the Client remains responsible for third-party or environmental damage as set out above.

Title to sold goods passes only upon full payment.
Manufacturer warranties apply where provided. Project Audio Ltd offers continued maintenance and support under separate agreement and fee.
Installation Services will be carried out with reasonable skill and care in accordance with recognised industry standards.
The Client shall ensure sites are ready, accessible, and compliant with health-and-safety and electrical regulations.
The Company is not liable for delays or additional costs arising from inadequate site preparation, unsafe conditions, or third-party interference.
6. DELIVERY & COLLECTION

Delivery and collection charges are additional unless stated otherwise.
Dates and times are estimates only. Project Audio Ltd shall not be liable for delays beyond its reasonable control.
The Client shall ensure suitable access for delivery vehicles and safe storage for flight-cases or packaging, unless alternative arrangements have been agreed in advance in writing.
Where parking restrictions prevent reasonable access, Project Audio Ltd may need to stop on restricted roads for safe loading or unloading. Any parking charges or fines incurred in the process shall be the responsibility of the Client and may be paid by Project Audio Ltd and recharged at cost.

Unless agreed otherwise, payment is due in full prior to delivery or commencement of Services.
A deposit may be required; deposits become non-refundable within 14 days of the event.
Approved credit accounts must be settled within the agreed period; overdue sums accrue interest under the Late Payment of Commercial Debts (Interest) Act 1998 at 8 % above the Bank of England base rate.
Project Audio Ltd may suspend or cancel Services or recover Equipment if payment is overdue.
All prices exclude VAT unless stated.
8. CANCELLATION & TERMINATION

Cancellations must be made in writing or by confirmed email.
Charges apply as follows:
- More than 14 days before event – 25 % of total fee
- 7–14 days before – 50 % of total fee
- Less than 7 days – 100 % of total fee
Project Audio Ltd may terminate immediately if the Client fails to pay, breaches these Terms or becomes insolvent.
Upon termination, the Company may recover its Equipment and charge all costs incurred.
9. LIMITATION OF LIABILITY

Project Audio Ltd shall perform Services with reasonable skill and care.
If any Equipment or Service proves defective, Project Audio Ltd will use all reasonable efforts to remedy the fault or provide a replacement.
Project Audio Ltd’s total aggregate liability, whether in contract, tort (including negligence) or otherwise, shall not exceed the total amount paid by the Client for the specific Equipment or Service giving rise to the claim.
Project Audio Ltd shall not be liable for any indirect, special, or consequential loss, including (without limitation) loss of profits, revenue, business, opportunity or reputation, even if foreseeable.
The Company accepts no liability for losses arising from failure of power supply, adverse weather, acts of third parties or events outside its reasonable control.
Nothing in these Terms limits liability for death or personal injury caused by Project Audio Ltd’s negligence or any liability that cannot lawfully be excluded.
10. INSURANCE & RISK

The Client must maintain insurance to cover hired Equipment for its full replacement value, and to provide public and employers liability cover where applicable.
Project Audio Ltd reserves the right to request evidence of such insurance prior to commencement.
Project Audio Ltd maintains £10 million Public Liability Insurance.
The Company is not responsible for loss or damage to the Client’s property or third-party equipment unless caused by proven negligence.
11. FORCE MAJEURE

Neither the Client nor Project Audio Ltd shall be liable for delay or failure due to events beyond reasonable control including, but not limited to, natural disasters, fire, flood, pandemic, industrial disputes, supply shortages, or government action.
If such circumstances persist for more than 30 days, either party may terminate without further liability except for costs already incurred.
12. DATA PROTECTION

Project Audio Ltd will process personal data in accordance with the UK GDPR and Data Protection Act 2018.
Information is used solely for fulfilling the Contract and will not be shared except where required by law or necessary for delivery of Services.
13. HEALTH & SAFETY
The Client must provide a safe working environment and comply with all relevant legislation.
Project Audio Ltd may withdraw personnel or Equipment from any site deemed unsafe without penalty or liability.

14. TITLE & RECOVERY

Title to hired Equipment always remains with Project Audio Ltd.
In the event of non-payment or breach, the Company may enter premises to recover its property.
15. ENTIRE AGREEMENT

These Terms constitute the entire agreement between the parties and supersede all prior understandings or representations.
If any provision is held invalid or unenforceable, the remainder shall continue in full force and effect.
Nothing in these Terms shall prejudice any statutory rights that cannot lawfully be excluded.
